2. Acceptance of Terms

By accessing or using Helix's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you may not use our services.

We reserve the right to modify these terms at any time. We will notify you of material changes by email or through the platform. Continued use of the service after changes constitutes acceptance of the modified terms.

3. Description of Service

Helix is a marketplace that connects learners and researchers with verified AI specialists. Helix is open to both individual users and organizations purchasing on behalf of their teams. Services are delivered through a credit-based purchase system and take two forms:

  • Courses: instructors deliver courses as live 1-on-1 sessions or self-paced study with mentorship, covering AI strategy, machine learning, data engineering, prompt engineering, and related disciplines. Delivery and communication between learners and instructors happen in-platform, through course chat and the materials made available inside each enrollment.
  • Research studies: buyers may submit a research proposal and be matched with a verified specialist who carries out the study for an agreed price. Delivery and communication happen in-platform through the order's chat and the buyer's Research Portfolio.
  • Photo licensing: verified photographers publish photos to the gallery, and buyers can request a license (personal, editorial, commercial, or extended) to use a specific photo.

All instructors, specialists, and photographers are independently verified before they can accept learners, orders, or license requests on the platform.

4. User Accounts

4.1 Account Creation

To use our services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4.2 Eligibility

You must be at least 16 years of age to use our services. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into this agreement.

5. Credit Purchase System

5.1 Direct Purchases

Helix operates on a direct credit purchase model. Credits are purchased as individual, one-time transactions and are not subscription-based. Each credit purchase is a separate contract.

5.2 Credit Usage

Credits are used to enroll in courses, access instructor mentorship, and commission research studies with a specialist. Credits do not expire but are non-refundable except as required by law or as specified in our Refund Policy.

5.3 Pricing

All prices are clearly displayed before purchase. We reserve the right to modify pricing with reasonable notice, but price changes will not affect credits already purchased.

6. Consumer Rights

6.1 Right of Withdrawal

You have the right to withdraw from your purchase within 14 days without giving any reason.

The withdrawal period will expire 14 days from the date of purchase. To exercise your right of withdrawal, you must inform us of your decision by email or through your account settings.

However, if you begin using credits during the withdrawal period, you acknowledge that you are requesting immediate performance of the service and that you will lose your right of withdrawal once you have fully consumed the purchased credits.

6.2 Legal Guarantee

Under applicable law, you may benefit from a legal guarantee covering defects in digital content and services. This guarantee may vary depending on your jurisdiction.

7. Acceptable Use

You agree to use our services only for lawful learning, teaching, mentorship, and research purposes. You must not:

  • Use the services for any illegal purpose or in violation of any regulations
  • Attempt to reverse engineer, decompile, or extract source code
  • Share, resell, or redistribute access to the services
  • Use the services in a manner that could damage, disable, or impair our systems
  • Violate the rights of others or harvest personal data
  • Generate content that is harmful, discriminatory, or violates applicable laws

8. Intellectual Property

The Helix platform, including all software, algorithms, documentation, and content, is the intellectual property of New Company 1 and is protected by applicable international copyright laws.

You retain all rights to content and data you input into our services. By using our services, you grant us a limited license to process your data solely for the purpose of providing the services to you.

9. Data Protection

10. Liability and Warranties

10.1 Service Availability

We strive to provide reliable services but do not guarantee uninterrupted or error-free operation. We may suspend services for maintenance with reasonable notice.

10.2 Limitation of Liability

To the extent permitted by applicable law, our liability for any damages is limited to the amount you paid for the services in the 12 months preceding the claim.

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Termination

You may terminate your account at any time by contacting our support team at support@helixai.academy. Unused credits will be handled in accordance with our Refund Policy.

We may suspend or terminate your account if you violate these terms, with notice where reasonably practicable. In cases of serious violations, we may terminate immediately.

12. Governing Law and Disputes

12.1 Governing Law

These Terms of Service are governed by the laws applicable at the registered office of New Company 1, without regard to conflict-of-law rules.

12.2 Dispute Resolution

In the event of a dispute, we encourage you to contact us first to seek an amicable resolution. If we cannot resolve the dispute informally, disputes are subject to the competent courts of the place of our registered office, without prejudice to any mandatory consumer protections available to you.

Consumers cannot be deprived of the protection afforded by mandatory provisions of consumer protection law in their jurisdiction of residence.
